How Spark works

    Not a fund.
    A permanent home.

Most acquirers are built around an exit. The price, the people decisions and the growth plan are all shaped by the day they sell. Spark is built on the opposite premise. We buy businesses to own them, and every decision we make is made by an owner who expects to still be there in twenty years.

    The model

    Own. Invest. Hold. Reinvest.

Spark Equity is a permanent-capital Australian industrial group. The model has four parts and it is the same for every business we own.

    01

    Acquire good businesses

Durable earnings, capable people and a defensible position in their market. From specialist bolt-ons through to substantial standalone companies.

    02

    Invest for the long term

People, equipment, systems, automation and capability. The things that make a good business better every year.

    03

    Keep businesses accountable

Decentralised operating companies run by capable management, with clear reporting and a regular performance cadence.

    04

    Reinvest and compound

Cash generated across the group goes to the highest-return use, including further acquisitions. Then we do it again.

Acquire. We buy established Australian industrial businesses with durable earnings, capable people and a defensible position. Some are substantial standalone companies that form a meaningful part of the group. Others are specialist bolt-ons that fit alongside a business we already own. We care more about the quality of the earnings, the people and the market position than about fitting every opportunity into a size bracket.

Invest. Equipment, systems, automation, people and capability. We make the investments a good business needs to stay good, and we make them on a timeframe measured in decades.

Hold. Each business keeps its own identity, its own management and its own results. Capable managers run their businesses. Spark sets the standard, provides the reporting and holds a regular performance cadence.

Reinvest. Cash generated across the group is directed to the highest-return use: an upgrade in one business, a capability in another, or the next acquisition. Retained earnings are the engine.

    Operating model

    Decentralised operations.
    Centralised capital allocation.

A Spark business does not disappear into a corporate group. It keeps its name, its customers, its site and its management. What changes is what sits above it.

    The business keeps
    • ●Its name and its brand
    • ●Its management team and its people
    • ●Its customer relationships
    • ●Accountability for its own results
    • ●Its place in its industry
    Spark provides
    • ●Capital allocation and access to capital
    • ●Disciplined acquisitions
    • ●Financial reporting and governance
    • ●Management support and performance cadence
    • ●Technology, systems and automation
    • ●Shared capability only where it genuinely helps
    What we buy

    What we look for.

We acquire established Australian industrial businesses, from specialist bolt-ons through to substantial standalone companies. These are guidelines, not rules.

    Earnings

Profitable, established, with a track record of cash generation through a cycle. We are not turnaround investors.

    People

Capable management and a workforce worth keeping. A business that depends entirely on its owner is harder for us to own well.

    Position

A defensible place in its market: specialised capability, long customer relationships, technical or regulatory know-how, or a product customers rely on.

    Sector

Manufacturing, precision fabrication, engineering, industrial products, specialised industrial services, testing and compliance, engineered products, industrial distribution with a real moat, and niche B2B industrial businesses.

    Size

Two roles in the group. Platform businesses: substantial companies capable of forming a meaningful part of the group in their own right. Bolt-ons: smaller businesses where Spark can provide a permanent home and there is a strong operating, customer or capability fit with what we already own.

    Geography

Australia. Spark is based in Melbourne and our operating businesses are in Victoria, and we will own businesses wherever a good business is.

    What we are not

We do not buy distressed businesses, start-ups, retail, hospitality or software. We do not buy businesses to break them up or to sell them on. We buy businesses that make or do real things, and we intend to keep them.

    How We Work

    Straightforward. No surprises.

We have been on the other side of complicated deals. We do not run them that way.

    1

    Initial conversation

No NDA required upfront. We talk like people. You tell us about the business; we tell you plainly how we think about value and structure.

    2

    We do the work

Once we have basic financials we can usually tell you within a few weeks whether we are a fit and what a deal could look like. We do the work ourselves with a small number of advisers.

    3

    Agree the deal

We are transparent about how we structure transactions. Deferred payments, earn-outs, a retained stake or a clean exit: we find what works for the business and for you.

    4

    We own it

The business keeps trading under its own name with its own people. We spend the first months understanding what makes it work, then invest where it matters.

    FAQ

    Frequently Asked Questions

Private equity buys with a plan to sell, usually within five to seven years. Spark buys with a plan to own. There is no fund lifecycle, so there is no exit clock driving decisions about price, people or growth.

Less than you might expect on day one, and more over time. The business keeps running. We spend the first months understanding what makes it work, then invest where it matters: equipment, systems, automation, people and sales capability. Management stays accountable for results and Spark provides the capital, reporting and support above the business.

We buy across two roles: substantial platform businesses and smaller bolt-ons. We are more interested in the quality of the earnings, the people and the market position than in a rigid size bracket. If you are unsure whether your business fits, ask.
